1. Agreement to These Terms
These Terms & Conditions ("Terms") govern your access to and use of The Gentleman's Guide website, application, membership platform, digital products, events, content, communities, communications, recommendations, and related products and services (collectively, the "Services").
The Gentleman's Guide is owned and operated by The Gentleman's Guide LLC, a North Carolina limited liability company ("Company," "TGG," "The Gentleman's Guide," "we," "our," or "us").
By:
- Accessing or using the Services;
- Creating an account;
- Purchasing a membership;
- Purchasing a digital product;
- Registering for or attending an event;
- Clicking a checkbox, button, or similar mechanism indicating acceptance of these Terms; or
- Otherwise affirmatively agreeing to these Terms,
you acknowledge that you have read, understood, and agree to be legally bound by these Terms and any policies expressly incorporated into them.
If you do not agree to these Terms, do not create an account, purchase our Services, or otherwise use Services requiring acceptance of these Terms.
2. Eligibility
The Gentleman's Guide is intended for adults.
You must be at least 18 years old and legally capable of entering into a binding contract to create an account, purchase a membership, or use member Services. Certain events, venues, products, or experiences may have higher age requirements, including a minimum age of 21 where alcoholic beverages are involved.
By using the Services, you represent and warrant that:
- You satisfy applicable age requirements;
- Information you provide is truthful and accurate;
- You are legally capable of entering into these Terms;
- You will comply with these Terms and applicable law; and
- Your use of the Services will not violate another binding legal obligation applicable to you.
TGG reserves the right to verify eligibility where reasonably necessary.
3. Purpose of The Gentleman's Guide
The Gentleman's Guide is a lifestyle, dating-strategy, social-development, education, entertainment, membership, and experiences platform. Services may include dating and social strategy, date planning, city guides, and venue recommendations — including the Charlotte Date Night Black Book — restaurant, bar, lounge, and hotel recommendations, entertainment and experience recommendations, educational content (articles, videos, podcasts, courses, and workshops), member-only content, community access, events and member experiences, digital products, brand-partner benefits, discounts and promotions, concierge-style recommendations, coaching or educational programming, and additional products and services introduced as TGG evolves.
TGG may modify or expand its Services over time.
4. TGG Is Not a Matchmaking Service
Unless TGG expressly introduces a separate service stating otherwise, The Gentleman's Guide is not a matchmaking service or dating agency. TGG does not undertake to investigate, certify, supervise, or guarantee the identity, character, intentions, relationship status, criminal history, background, health, compatibility, honesty, safety, or conduct of individuals you encounter through TGG events, communities, recommendations, venues, experiences, or Services. You are responsible for determining whether and how to interact with another individual.
5. No Guarantee of Dating or Personal Results
TGG provides information, education, recommendations, strategies, resources, experiences, and tools. We cannot and do not guarantee attraction, dating success, romantic compatibility, a particular number of dates, relationship formation or success, sexual or romantic outcomes, increased confidence, improved social status, access to any particular individual, admission to or availability of a third-party venue, personal transformation, professional success, or financial results.
Testimonials, examples, case studies, demonstrations, member stories, and success stories represent individual experiences and should not be interpreted as guarantees. You remain responsible for your own decisions, communications, conduct, relationships, and results.
6. Consent, Respect, and Personal Responsibility
TGG promotes confident, intentional, respectful social interaction. Nothing provided through the Services should be interpreted as encouraging sexual coercion, harassment, stalking, threats, violence, fraud, intimidation, repeated unwanted contact, non-consensual conduct, unlawful discrimination, or disregard for another person's expressed boundaries.
Educational content discussing attraction, dating, communication, escalation, confidence, or social leadership never overrides another person's autonomy or right to decline or withdraw consent. Members are solely responsible for obtaining appropriate consent and complying with applicable law.
7. Personal Safety
Dating, social interactions, events, travel, nightlife, and meeting unfamiliar individuals involve risks that TGG cannot completely eliminate. Users are responsible for exercising reasonable judgment and precautions appropriate to the circumstances. TGG does not guarantee the safety of another person, venue, date, event, or experience. You voluntarily determine whether to participate in any interaction or activity.
8. User Accounts
Certain Services require a user account. You agree to:
- Provide accurate information;
- Maintain current account information;
- Protect your login credentials;
- Prevent unauthorized access to your account; and
- Notify TGG promptly if you reasonably believe your account has been compromised.
Membership accounts are personal and generally non-transferable. You may not share paid membership credentials, sell access to your account, impersonate another individual, circumvent membership restrictions, access another person's account without authorization, or use the platform fraudulently. You are responsible for activity conducted through your account to the extent permitted by applicable law.
9. Community Standards
TGG members and participants are expected to interact respectfully. You may not use the Services to engage in harassment, threats, stalking, sexual harassment, violence, fraud, impersonation, hate-based abuse, illegal activity, unauthorized solicitation, spam, repeated unwanted communications, unauthorized disclosure of another member's private information, unauthorized recording where prohibited, circumvention of platform security, unauthorized commercial promotion, or conduct reasonably likely to jeopardize another person's safety. TGG may investigate reported violations and take reasonable action.
10. Membership Suspension or Termination
TGG may warn, restrict, suspend, or terminate an account for reasons including material or repeated violation of these Terms, fraud, nonpayment, chargeback abuse, illegal activity, harassment, security threats, community-safety concerns, misuse of the platform, or conduct materially harmful to TGG, its members, partners, or Services. Where immediate action is reasonably necessary, TGG may suspend access while reviewing the matter.
A member removed for serious misconduct may be prohibited from rejoining TGG or attending future TGG events. Refund eligibility following termination is governed by applicable law and any refund terms disclosed for the Service purchased.
11. Paid Memberships
TGG may offer monthly, quarterly, annual, promotional, founding, lifetime, or other membership structures. Before purchase, the applicable offer will identify material terms including, where applicable: price, billing frequency, membership period, whether renewal is automatic, material membership benefits, cancellation instructions, and promotional conditions.
Membership benefits may evolve as TGG develops, subject to existing contractual obligations and applicable law.
12. Automatic Renewal
This section applies to automatically renewing memberships.
Where disclosed at checkout, your membership will automatically renew until canceled. Before enrollment, TGG will clearly and conspicuously disclose material recurring-payment terms. By affirmatively purchasing an automatically renewing membership, you authorize TGG and its authorized payment processor to charge your selected payment method at the disclosed billing interval until cancellation becomes effective.
Applicable disclosures may include:
- The amount charged;
- Billing frequency;
- Automatic-renewal status;
- Initial membership period;
- Renewal period;
- Cancellation instructions; and
- Other information required by applicable law.
TGG will provide automatic-renewal notices required by applicable law. Where North Carolina law requires advance written notice of an automatic renewal, TGG will provide such notice within the legally required timeframe.
13. Membership Cancellation
Members may cancel automatically renewing memberships using cancellation mechanisms made available by TGG, which may include account settings, a membership-management dashboard, another designated electronic cancellation mechanism, or Customer Support at Support@thegentlemansguide.app.
Cancellation prevents subsequent automatic renewals after the cancellation becomes effective. Unless otherwise required by law or expressly stated in an applicable offer, cancellation does not retroactively refund a membership period that has already begun. Members ordinarily retain access through the end of the already-paid membership period.
14. Free Trials and Introductory Offers
TGG may offer free trials, discounted trials, introductory memberships, or promotional pricing. Before a trial or introductory offer that converts to a paid subscription begins, TGG will disclose material terms including trial duration, the amount charged after the trial, billing frequency, automatic-renewal status, and the cancellation method. By affirmatively accepting the applicable offer, you authorize charges disclosed at enrollment.
15. Price Changes
TGG may change membership pricing from time to time. Price changes will not retroactively alter amounts already paid. Where required by law, members will receive appropriate notice before changed pricing applies to a future renewal. Members who do not wish to continue at a changed price may cancel before the applicable renewal.
16. Failed Payments
If an authorized payment fails, TGG or its payment processor may make reasonable additional attempts to process the payment, subject to applicable law and payment-network requirements. TGG may suspend paid membership benefits while an account remains unpaid.
17. Refunds
Refunds are governed by any specific terms displayed with a product, event, membership, or offer. Except where otherwise expressly stated or required by law:
- Current membership periods may be non-refundable once begun;
- Prepaid membership periods may be non-refundable;
- Digital products may be non-refundable following delivery or access; and
- Event tickets may be subject to event-specific refund restrictions.
Nothing in these Terms eliminates rights that cannot legally be waived.
18. Chargebacks and Payment Disputes
Users retain all lawful rights concerning unauthorized or improper charges. However, knowingly filing a fraudulent payment dispute to obtain TGG Services without payment may result in account suspension or termination. When responding to a payment dispute, TGG may provide relevant evidence to its payment processor or financial institution, including transaction records, checkout disclosures, Terms-acceptance records, membership activity, digital-access records, event attendance records, cancellation records, customer communications, and refund records.
19. Payment Processing
Payments may be processed through TD Bank Merchant Services, NMI, and associated authorized payment-processing or gateway providers. Payment providers may process information necessary to authorize and complete transactions.
TGG intends to minimize direct storage of complete payment-card credentials. Complete card numbers, CVV information, and other sensitive card credentials should be processed through approved payment infrastructure rather than stored in TGG's ordinary application database whenever reasonably possible. Transactions may also be subject to applicable payment-provider terms.
20. Digital Products
TGG may sell digital products including the Charlotte Date Night Black Book, city guides, dating guides, venue directories, courses, videos, templates, scripts, checklists, databases, premium reports, educational materials, and other downloadable or digitally accessible resources.
Unless expressly stated otherwise, purchase grants you a limited, personal, non-exclusive, non-transferable license to use the applicable product for personal purposes. Purchase does not transfer ownership of the intellectual property.
21. Intellectual Property
TGG and its licensors retain rights in proprietary content and materials including the The Gentleman's Guide name, logos, trademarks, branding, written content, guides, frameworks, courses, videos, photography, graphics, website design, proprietary databases, curated recommendations, event concepts, training materials, marketing materials, and other original content.
Except where expressly authorized, users may not:
- Resell TGG materials;
- Publicly distribute paid materials;
- Share membership credentials;
- Republish paid guides;
- Reproduce substantial proprietary content;
- Systematically scrape proprietary databases;
- Commercialize TGG content;
- Remove copyright notices;
- Represent TGG content as their own; or
- Use TGG trademarks in a manner likely to imply unauthorized affiliation or endorsement.
22. User Content
Users may be able to submit reviews, comments, photographs, videos, stories, profiles, testimonials, messages, or other content ("User Content"). You retain ownership rights you possess in your User Content.
When you intentionally submit User Content for publication through TGG, you grant TGG a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and technically modify that content as reasonably necessary to operate, display, promote, and improve the Services, subject to applicable privacy and publicity laws. You represent that you possess the rights necessary to submit such content.
This provision does not grant TGG unrestricted ownership of your identity, likeness, or private communications. Separate releases may be obtained for prominent commercial advertising, testimonials, professional photography, or similar uses where appropriate.
23. Prohibited User Content
Users may not submit content that:
- Infringes intellectual-property rights;
- Violates privacy or publicity rights;
- Contains unlawful threats;
- Constitutes harassment;
- Contains unauthorized intimate imagery;
- Is fraudulent;
- Impersonates another person;
- Promotes illegal activity; or
- Otherwise violates applicable law.
TGG may remove content that violates these Terms.
24. Events and Experiences
TGG may organize, sponsor, promote, recommend, or facilitate singles events, mixers, dinners, tastings, workshops, networking events, member gatherings, date experiences, entertainment experiences, travel experiences, and other social activities. Specific events may be subject to additional terms, waivers, venue requirements, ticket conditions, or age restrictions.
25. Assumption of Ordinary Event Risks
Participation in in-person activities involves risks that cannot be completely eliminated. Depending upon the activity, risks may include interaction with unfamiliar individuals, food or beverage consumption, alcohol consumption, transportation, slips and falls, crowded environments, property loss, third-party conduct, and risks ordinarily associated with the particular activity.
To the fullest extent permitted by law, participants voluntarily assume risks inherent in activities they freely choose to attend. Nothing in these Terms is intended to waive liability that cannot legally be waived. Higher-risk experiences may require a separate event-specific waiver.
26. Alcohol
Some TGG events, experiences, or recommended venues may serve alcohol. TGG does not encourage excessive or unlawful alcohol consumption. Attendees are responsible for complying with applicable drinking-age requirements, drinking responsibly, monitoring their consumption, arranging appropriate transportation, and never operating a vehicle while impaired. TGG may deny continued participation to an attendee whose intoxication or conduct reasonably threatens safety or materially disrupts an event.
27. Event Tickets and Cancellations
Event ticket refunds and cancellations are governed by the applicable event terms. Unless an event listing expressly states otherwise, TGG event tickets may become non-refundable within 72 hours of the scheduled event start time. Failure to attend an event does not ordinarily create a right to a refund. TGG may permit ticket transfers where appropriate.
28. Event Changes
TGG may reasonably modify event details including schedule, venue, room, host, speaker, menu, entertainment, participating partner, or similar operational details. A reasonable modification that does not substantially change the essential nature of the purchased experience does not automatically create a refund right.
29. TGG-Canceled Events
If TGG cancels a paid event and does not provide a substantially equivalent replacement or rescheduled experience, purchasers will ordinarily receive a refund of amounts paid directly to TGG for that event, subject to applicable law and event-specific terms.
30. Third-Party Venues and Businesses
TGG may recommend or feature restaurants, bars, lounges, coffee shops, hotels, entertainment venues, transportation providers, retailers, experience providers, and other businesses. Unless expressly stated otherwise, these businesses are independent third parties and TGG does not control their day-to-day operations.
Business information may change without notice, including prices, menus, hours, availability, ownership, dress codes, reservation policies, services, and quality. Users should independently verify time-sensitive information.
31. Third-Party Transactions
Where you purchase directly from a third party, your transaction is generally governed by that third party's terms, privacy practices, refund policy, and cancellation policy. TGG cannot ordinarily refund money that TGG did not collect.
32. Brand Partnerships, Affiliates, and Sponsored Placements
TGG may generate revenue through sponsorships, advertising, featured placements, affiliate relationships, referral fees, commissions, venue partnerships, brand partnerships, promotional campaigns, and member offers. TGG may receive compensation when users visit, purchase from, reserve with, or otherwise interact with participating businesses. Material commercial relationships will be disclosed where required by applicable law. Sponsored placement does not constitute a guarantee concerning a third-party business or product.
33. Privacy
Use of the Services is governed by the TGG Privacy Policy, which describes how TGG may collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms where legally appropriate.
34. Website Tracking and Advertising Technologies
TGG may use technologies including Google Tag Manager, the Meta Pixel, the Meta Conversions API, cookies, tags, pixels, server-side event tracking, and similar technologies for purposes including website functionality, advertising attribution, conversion measurement, analytics, marketing optimization, fraud prevention, and personalization where permitted. Additional information is provided in our Privacy Policy. Where applicable law requires consent, an opt-out, or another privacy control, TGG will provide the required mechanism.
35. Customer Relationship Management
TGG may use third-party customer relationship management and automation systems, including GoHighLevel, to manage leads, customer information, membership information, communications, marketing activity, customer service, event communications, and related business processes. Use of personal information through these systems is governed by our Privacy Policy and applicable law.
36. Email Communications
By creating an account or purchasing a Service, you agree that TGG may send transactional or administrative communications reasonably necessary to operate the Services, including receipts, security notices, account notices, membership notices, renewal notices, event updates, and customer-service communications. Marketing emails will provide legally required unsubscribe mechanisms. Unsubscribing from promotional email does not prevent necessary transactional communications.
37. SMS/Text Messaging
TGG may offer optional SMS/text-message programs. Where applicable:
- Marketing SMS will require applicable consent;
- Message frequency may vary;
- Message and data rates may apply;
- Consent to marketing SMS is not a condition of purchase where prohibited by law;
- Users may withdraw consent using provided opt-out instructions; and
- Additional SMS terms may apply.
Agreement to these general Terms alone does not necessarily constitute consent to receive promotional SMS messages.
38. Electronic Communications and Signatures
You agree that electronic records, notices, agreements, and communications may be used in connection with the Services to the extent permitted by applicable law. An affirmative electronic action indicating agreement may constitute your electronic acceptance of these Terms.
39. Acceptable Use
You may not use TGG to:
- Violate applicable law;
- Commit fraud;
- Harass, threaten, or stalk another person;
- Access systems without authorization;
- Introduce malicious software;
- Interfere with website security;
- Harvest personal information unlawfully;
- Circumvent membership restrictions;
- Spam users;
- Scrape protected content in violation of these Terms or applicable law;
- Infringe intellectual-property rights; or
- Materially harm TGG, its members, partners, or Services.
40. Third-Party Links
The Services may contain links to third-party websites, applications, reservation platforms, payment systems, social-media platforms, businesses, or services. TGG does not control those independent third parties. Accessing a third-party service is subject to that provider's applicable terms and privacy practices.
41. Informational and Educational Purposes
TGG content is provided for educational, informational, lifestyle, and entertainment purposes. Unless expressly stated otherwise, TGG does not provide legal advice, medical advice, mental-health treatment, financial advice, or other regulated professional services. Users should consult an appropriately qualified professional regarding matters requiring professional advice.
42. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TGG DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE OR ERROR-FREE; THAT EVERY RECOMMENDATION WILL BE ACCURATE; THAT EVERY VENUE WILL REMAIN AVAILABLE; THAT EVERY MEMBER WILL ACHIEVE THE SAME RESULTS; THAT THIRD-PARTY SERVICES WILL PERFORM AS EXPECTED; OR THAT EVERY SECURITY THREAT CAN BE PREVENTED. TGG DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
43. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GENTLEMAN'S GUIDE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES.
This may include damages arising from:
- Dating or relationship outcomes;
- Conduct of independent third parties;
- Decisions based upon informational content;
- Third-party venue experiences;
- Lost opportunities;
- Unauthorized third-party account activity outside TGG's reasonable control;
- Temporary platform interruptions; or
- Reliance on recommendations that subsequently change.
To the fullest extent permitted by law, TGG's aggregate liability arising from a particular paid Service will not exceed the greater of (A) the amount you paid TGG for the Service giving rise to the claim during the twelve months preceding the event giving rise to liability, or (B) $100. These limitations do not apply to liability that applicable law prohibits TGG from limiting.
44. Non-Waivable Rights
Nothing in these Terms is intended to waive a right that applicable law makes non-waivable, exclude liability that cannot legally be excluded, or eliminate mandatory consumer protections. Any limitation, release, indemnification, or waiver will apply only to the maximum extent permitted by applicable law.
45. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The Gentleman's Guide LLC and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, and reasonable costs arising from your unlawful conduct, your material violation of these Terms, User Content that unlawfully violates another person's rights, your misuse of the Services, or your fraudulent or intentionally wrongful conduct. This provision does not require indemnification where prohibited by applicable law.
46. Informal Dispute Resolution
Before commencing arbitration, a party asserting a dispute must provide written notice describing:
- The claimant's name and contact information;
- The nature of the dispute;
- Relevant facts;
- The requested relief; and
- Sufficient information to allow reasonable investigation.
Notices to TGG should be sent to Support@thegentlemansguide.app. The parties will attempt in good faith to resolve the dispute for at least 30 days following receipt of a complete notice. This requirement does not prohibit emergency or injunctive relief where delay would materially prejudice available rights.
47. Agreement to Individual Arbitration
Please read this section carefully. It affects your legal rights.
Except for disputes excluded below and to the extent permitted by applicable law, disputes arising from or relating to these Terms, membership, purchases, events, digital products, communications, use of the Services, or the relationship between you and TGG that cannot be resolved through the informal dispute process will be resolved through binding individual arbitration.
The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement to the extent applicable. Arbitration will be administered by the American Arbitration Association ("AAA") under the applicable AAA consumer or commercial rules then in effect, unless the parties agree to another administrator. The arbitrator may award relief available to the individual claimant under applicable law. For consumer disputes, TGG will not require arbitration costs inconsistent with applicable law or applicable consumer-arbitration standards.
48. Arbitration Location
Where an in-person arbitration hearing is required and applicable arbitration rules do not require otherwise, the hearing will take place in Mecklenburg County, North Carolina, unless the parties agree otherwise. Remote hearings may be conducted where permitted.
49. Exceptions to Arbitration
Either party may:
- Bring an eligible individual matter in small claims court;
- Seek emergency injunctive relief where legally appropriate; or
- Pursue qualifying intellectual-property claims in court where applicable law permits.
Nothing in these Terms limits governmental agencies from exercising authority granted to them by law.
50. Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TGG AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
An arbitrator may award relief only to the individual parties before the arbitrator except where applicable law requires otherwise. If a court determines that a particular portion of this waiver cannot legally be enforced as to a particular claim or remedy, that portion will be handled as required by law while remaining enforceable portions remain effective.
51. Jury Trial Waiver
For disputes properly subject to arbitration: YOU AND THE GENTLEMAN'S GUIDE LLC UNDERSTAND THAT ARBITRATION REPLACES THE RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY IN COURT, subject to the exceptions stated in these Terms.
52. Arbitration Opt-Out
A new user may opt out of the arbitration agreement by providing written notice within 30 days after first accepting these Terms. The notice must be sent to Support@thegentlemansguide.app and contain the user's full legal name, the email address associated with the TGG account, and a clear statement that the user elects to opt out of the arbitration agreement contained in the TGG Terms & Conditions. Opting out of arbitration does not affect the remaining Terms.
53. Governing Law
Except where federal law controls or applicable consumer law requires otherwise, these Terms and disputes arising from them will be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
54. Court Venue
For disputes not subject to arbitration and where applicable law permits contractual selection of venue, the parties consent to jurisdiction in the appropriate state or federal courts located in or serving Mecklenburg County, North Carolina. Nothing in this provision eliminates a consumer forum that applicable law requires to remain available.
55. Modification of Services
TGG is an evolving platform. We may add, remove, or modify features, redesign Services, introduce new membership benefits, replace technology providers, or discontinue portions of the Services. These Terms do not guarantee that every non-material feature will remain available indefinitely. Material changes affecting existing paid commitments will be handled consistent with applicable law and applicable purchase terms.
56. Changes to These Terms
TGG may update these Terms to reflect changes to the Services, new products, new business practices, changes in law, regulatory requirements, security concerns, or clarification of existing provisions. The "Last Updated" date will identify the latest version. Where required by applicable law, TGG will provide additional notice concerning material changes. Changes will not retroactively eliminate vested legal rights where prohibited by law.
57. Force Majeure
To the extent permitted by applicable law, TGG will not be responsible for delay or failure caused by circumstances reasonably outside its control, including severe weather, natural disasters, widespread telecommunications failures, government actions, public emergencies, civil disturbances, labor disruptions, venue emergencies, or failures of critical third-party infrastructure. This provision does not eliminate refund or consumer rights required by law.
58. Assignment
Users may not transfer their contractual rights or obligations under these Terms without TGG's written consent. TGG may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of substantially all relevant assets, or transfer of the TGG business, subject to applicable law.
59. No Partnership or Agency
Use of the Services does not create an employment relationship, partnership, franchise, fiduciary relationship, agency relationship, or joint venture between a user and TGG. A third-party business does not become an agent of TGG merely because it is recommended, advertised, sponsored, featured, or partnered with TGG.
60. No Waiver
Failure by TGG to enforce a provision on one occasion does not constitute a permanent waiver of that provision or TGG's right to enforce it later.
61. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary. The remaining provisions will continue in effect unless applicable law requires otherwise.
62. Entire Agreement
These Terms, together with the applicable Privacy Policy, event-specific terms, waivers, purchase terms, and other policies expressly incorporated by reference, constitute the applicable agreement concerning use of the Services. Where specific event or purchase terms expressly conflict with these general Terms, the more specific terms will control for that transaction to the extent of the conflict.
